By submitting Client Materials for a project, you represent that you have the legal authority to provide those materials for the requested purpose.
You are responsible for obtaining all necessary permissions, licenses, releases, consents, and authorizations relating to Client Materials.
This may include rights relating to:
Songwriters;
Composers;
Musicians;
Vocalists;
Producers;
Publishers;
Record labels;
Sample owners;
Photographers;
Videographers;
Performers;
Trademark owners; and
Other rights holders.
JPS Productions is not responsible for determining whether a client's materials are legally cleared unless that responsibility is expressly accepted in a separate written agreement.
9. OWNERSHIP OF PROJECT MATERIALS
Ownership of recordings, compositions, masters, stems, session files, mixes, edits, arrangements, production elements, artwork, and other project materials will be determined by the applicable written agreement.
Payment for a service does not automatically transfer every intellectual-property right associated with a project unless the applicable agreement expressly provides for such transfer.
Where no separate written agreement addresses ownership, applicable copyright and other intellectual-property laws will determine ownership and rights.
10. WORK-IN-PROGRESS & PROJECT FILES
JPS Productions may create or retain project files, session files, stems, mixes, recordings, backups, production notes, and other working materials.
Unless otherwise agreed in writing, delivery of a final product does not necessarily include delivery of every underlying production file or session file.
Additional fees may apply for archival retrieval, session-file preparation, stem preparation, project reconstruction, or other services involving working materials.
11. ARTIST & CLIENT RESPONSIBILITIES
Clients are responsible for providing accurate project information, required materials, approvals, feedback, scheduling information, and other items reasonably necessary to complete a project.
Delays caused by missing materials, late approvals, unavailable participants, technical problems outside JPS Productions' reasonable control, or other client-related circumstances may affect project deadlines.
JPS Productions will make reasonable efforts to communicate material delays when practicable.
12. QUOTES, ESTIMATES & PRICING
Quotes, estimates, rates, packages, and pricing displayed on the Website are subject to change.
A quote or estimate does not necessarily constitute a binding contract.
A project becomes formally accepted when JPS Productions and the client have agreed to the applicable terms, which may include a written agreement, approved proposal, invoice, deposit, payment, booking confirmation, or other written authorization.
Unless otherwise stated, taxes, third-party costs, licensing fees, studio rentals, musicians, travel, specialized equipment, rush services, additional revisions, or other expenses may be billed separately.
13. PAYMENTS
Payment terms will be communicated before or during the applicable transaction.
Depending on the project, JPS Productions may require:
Deposits;
Partial payments;
Milestone payments;
Full payment in advance;
Payment upon completion; or
Other agreed payment arrangements.
A client is responsible for paying all agreed charges by the applicable due date.
Failure to make required payments may result in suspension, cancellation, delay, or withholding of services or deliverables to the extent permitted by law and the applicable agreement.
14. DEPOSITS
When a deposit is required, its treatment—including whether it is refundable, transferable, or applied toward a final balance—will be specified in the applicable quote, invoice, booking confirmation, or written service agreement.
A deposit should not be assumed to be refundable unless the applicable written terms state otherwise or applicable law requires a refund.
15. CANCELLATIONS & RESCHEDULING
Cancellation and rescheduling terms may vary depending on the service.
Clients should review the applicable booking confirmation, invoice, proposal, or service agreement before scheduling a project.
JPS Productions reserves the right to establish reasonable cancellation, rescheduling, late-arrival, and no-show policies for individual services.
Nothing in these Terms is intended to eliminate rights that cannot lawfully be waived.
16. REFUNDS
Refund eligibility will depend on the nature of the service, the status of the project, applicable written agreements, and applicable law.
Because certain creative and professional services may involve time, labor, studio reservations, production work, editing, engineering, or other resources that cannot be recovered, refunds may be limited where legally permitted.
Any applicable refund policy will be disclosed before or during the transaction.
Where applicable law provides consumers with rights that differ from these Terms, those legal rights will apply.
17. REVISIONS & APPROVALS
Creative projects may include a defined number of revisions depending on the service purchased.
Additional revisions beyond an agreed scope may incur additional fees.
Once a client approves a final deliverable, additional changes may be treated as a new service or revision request.
Clients are responsible for reviewing and approving deliverables within the agreed project timeline.
18. TURNAROUND TIMES
Estimated turnaround times are estimates unless a specific deadline is expressly guaranteed in a written agreement.
Turnaround may depend upon:
Project complexity;
Client response time;
Availability of materials;
Number of revisions;
Studio availability;
Third-party services;
Technical circumstances;
Scheduling;
Holidays; and
Other circumstances beyond reasonable control.
Rush services may be available at an additional charge.
19. THIRD-PARTY SERVICES
JPS Productions may use third-party platforms and service providers for payment processing, hosting, cloud storage, scheduling, communications, music distribution, analytics, email, social media, digital delivery, or other business functions.
Third-party services may have their own terms and privacy policies.

37. GOVERNING LAW & DISPUTES
The governing law, venue, jurisdiction, arbitration requirements, mediation procedures, and dispute-resolution provisions applicable to a particular client relationship or transaction will be determined by the applicable written agreement and applicable law.
Nothing in these Terms is intended to deprive a consumer of rights or remedies that cannot legally be waived.
Where no separate written agreement establishes applicable provisions, disputes will be handled according to applicable law and the jurisdiction legally authorized to hear the matter.
38. CONSUMER RIGHTS
Nothing in these Terms is intended to waive, restrict, or eliminate consumer rights provided by applicable federal, Puerto Rico, or other applicable law.
JPS Productions will comply with applicable consumer-protection requirements.
Puerto Rico's Department of Consumer Affairs (DACO) provides information and services concerning consumer and merchant rights and obligations.
39. ELECTRONIC ACCEPTANCE
Where legally permitted, electronic acceptance, digital acknowledgments, online confirmations, electronic signatures, invoices, booking confirmations, and other electronic records may be used to establish an agreement.
You are responsible for reviewing applicable terms before accepting a transaction or service.
